1. Definitions
- "Agreement" means these Terms of Service, the Privacy Policy, and any applicable subscription order forming a binding contract between CPD Registry and the User.
- "CPD Registry", "we", "us" or "our" means the legal entity operating the platform cpdregistry.app.
- "Service" means the cloud-based CPD tracking software, dashboard, reporting tools, and database hosted at cpdregistry.app.
- "User", "you" or "your" means the individual legal professional or entity subscribing to or accessing the Service.
- "User Content" means any training logs, course titles, provider details, hours, and digital copies of completion certificates uploaded or stored by you in the Service.
- "Usage Data" means anonymized, aggregated telemetry reflecting how the platform is used (e.g., active session durations, feature clicks) strictly excluding any User Content or personally identifiable information.
2. Services, Access, and Free Trial
2.1. License: Subject to these Terms and your active subscription, CPD Registry grants you a non-exclusive, non-transferable, revocable license to access and use the Service strictly for your professional development tracking.
2.2. The 30-Day Free Trial: New Users may register for a thirty (30) day free trial. No credit card is required to start the trial. Upon the expiration of the 30-day trial period, your access to write or edit training logs will be restricted until you choose an active paid subscription plan.
3. Subscriptions, Fees, and Stripe Billing
3.1. Billing & Autorenewal: Paid subscriptions are billed on a recurring basis (monthly or annually) via Stripe. All subscriptions automatically renew at the end of each billing cycle unless cancelled.
3.2. Cancellation: You may cancel via the Stripe Customer Portal inside your account Settings. Upon cancellation, you will retain write-access until the end of your current billing period, after which your account will revert to read-only status.
3.3. Taxes: Fees are exclusive of value-added tax (moms/VAT) and other applicable regional taxes, which will be calculated and added at checkout via Stripe based on your jurisdiction.
4. Critical Professional Disclaimer (Limitation of Compliance Liability)
4.1. CPD REGISTRY IS AN ADMINISTRATIVE UTILITY AND DOCUMENT-LOGGING TOOL. WE DO NOT PROVIDE LEGAL ADVICE, REGULATORY COUNSEL, OR OFFICIAL BAR COMPLIANCE VERIFICATION.
4.2. WHILE THE SERVICE INTEGRATES THE FORMAL CPD RULES OF VARIOUS BAR ASSOCIATIONS (INCLUDING SVERIGES ADVOKATSAMFUND §36), CONTINUING PROFESSIONAL DEVELOPMENT REGULATIONS ARE SUBJECT TO REGULATORY INTERPRETATION AND CHANGE.
4.3. THE INDIVIDUAL USER REMAINS SOLELY AND EXCLUSIVELY RESPONSIBLE FOR ENSURING THAT THEIR COMPLETED COURSES, EDUCATORS, FORMATS, AND REGISTERED HOURS COMPLY WITH THE LATEST MANDATES OF THEIR RESPECTIVE BAR ASSOCIATION OR REGULATORY BODY.
4.4. CPD REGISTRY ACCEPTS ZERO LIABILITY FOR ANY REGULATORY AUDIT FAILURES, COMPLIANCE DISPUTES, ETHICAL INQUIRIES, FINES, DISCIPLINARY PROCEEDINGS, SUSPENSIONS, OR LOSS OF PROFESSIONAL TITLE ARISING FROM YOUR USE OF, OR RELIANCE UPON, THE COMPLIANCE STATUS INDICATED IN THE SERVICE.
5. Intellectual Property & User Content Ownership
5.1. Your Data: You retain 100% ownership, intellectual property rights, and control over all User Content (including course logs and uploaded certificates).
5.2. Our License: You grant CPD Registry a limited, non-exclusive, royalty-free license to host, display, and process your User Content strictly to the extent necessary to deliver the tracking and PDF-exporting Services to you.
5.3. Platform IP: CPD Registry retains all intellectual property rights, patents, copyrights, and software proprietary claims over the cpdregistry.app platform, codebases, designs, logos, and UI patterns.
6. Acceptable Use Policy
When utilizing our Service, you agree that you will not:
- Upload any files containing viruses, Trojan horses, malware, or malicious scripts.
- Log fraudulent or fictitious training hours with the intent to mislead regulatory auditors.
- Upload any documents, files, or sensitive client case information that belong to third parties or violate attorney-client privilege.
- Attempt to reverse-engineer, exploit, or conduct unauthorized penetration testing of the CPD Registry infrastructure.
7. Limitation of Liability
7.1. To the maximum extent permitted by applicable law, CPD Registry and its affiliates shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, revenue, billable hours, business opportunities, or professional goodwill.
7.2. CPD Registry's total aggregate liability for any claims arising out of or related to this Agreement shall be strictly capped at the total amount actually paid by you to CPD Registry in the twelve (12) months preceding the event giving rise to the claim.
8. Governing Law and Dispute Resolution
8.1. This Agreement shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles.
8.2. Any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall be finally settled by the Stockholm District Court (Stockholms tingsrätt) as the court of first instance.
